TERMS AND CONDITIONS / RULES OF GAMING ACTIVITY 


  1. Information on how to enter and the prizes form part of these Terms and Conditions. Participation in the “Windows 11 Pro Race to Upgrade with Ingram Micro” promotion (“Promotion”) is deemed acceptance of these Terms and Conditions. 
  2. The promoter is Ingram Micro Pty Ltd (ABN 45 112 487 966) of Level 1, 61 Dunning Avenue, Rosebery NSW 2018, telephone (02) 9381 6000 (“Promoter”).
  3. The Promotion is not associated with, nor sponsored by, BMW nor any other third party involved in the provision of goods or services in relation to any prize in this Promotion.
  4. Entry is only open to commercial businesses located in Australia that are an authorised reseller of the Promoter’s products (each an “Eligible Business”). 
  5. Employees (and their immediate families) of the Promoter, and persons and agencies associated with this Promotion, are ineligible to enter. Immediate family means any of the following: spouse, ex-spouse, de-facto spouse, child or step-child (whether natural or by adoption), parent, step-parent, grandparent, step-grandparent, uncle, aunt, niece, nephew, brother, sister, step-brother, step-sister or 1st cousin. 
  6. The Promotion commences on 1 June 2025 at 09:00am AET and ends on 31 March 2026 at 11:59pm AET (“Promotional Period”). 
  7. An eligible product is any of the following, and no other product: 
    (a) any Windows 11 Pro hardware device manufactured by the following vendors: Dell Technologies, HP or Lenovo. Excluding Windows 11 Academic Pro devices (“Eligible Product”). 
  8. Subject to meeting the conditions set out in clauses 9 and 10 below, an Eligible Business makes a qualifying purchase if an authorised representative (aged 18 years or over) of the Eligible Business, on behalf of the Eligible Business, purchases an Eligible Product through the Promoter during the Promotional Period (“Qualifying Purchase”). Orders for an Eligible Product must be placed and invoiced during the Promotional Period in order to constitute a Qualifying Purchase. Incomplete or cancelled orders or returned orders will be deemed invalid and will not constitute a Qualifying Purchase.

Entering the Draw

  1. For an Eligible Business to enter into the draw for the Promotion (see clause 10 below), the Eligible Business must first:
    (a) Buy a minimum of 50 units of the listed Eligible Products from the Promoter for one entry into the draw. Note excluding return of Eligible Products. 
  2. Provided that an Eligible Business has met the conditions of clause 9, the Eligible Business will receive one (1) additional entry to the draw to the Promotion for every additional 50 units (being the minimum requirement per purchase order from the Promoter) of the Eligible Product from the Promoter.

 

Prize Details

  1. The first one (1) valid entry drawn (subject to these Terms and Conditions) will win one (1) BMW iX2 eDrive20, with a value as of May 2025 of approximately Recommended Retail Prince (RRP) of $92,500 including GST (“Prize”). The Prize includes delivery fee, order fee, local stamp duty, local registration, local CTP, and local plate fee. The Prize does not include car insurance and other on-road costs, which the winner will need be bear themself. The car colour and model are at the sole discretion of the Promoter, subject to availability and cannot be guaranteed. The Promoter makes no warranty as to the availability, quality and/or performance of the Prize. If the whole or part of the Prize is unavailable, then the Promotor may at its election provide a substitute prize of equal or greater value to the original Prize, subject to approval by any relevant government authority.
  2. The Promotor will order the Prize after the final draw in April 2026 (refer to clause 20 below for more information on draw date). You acknowledge and agree that: (a) it could take up to 6 months (subject to BMW dealership’s discretion) from the order date for the Prize to be delivered to an agreed location of the winner of the Promotion depending on the state of delivery; and (b) the Promotor does not prepare or coordinate the delivery of the Prize, which may be arranged by a third party with the winner of the Promotion; and (c) the Promotor makes no warranty or guarantee about the timing of delivery of the Prize.
  3. To the maximum extent permitted by the applicable laws, the Promoter shall not be liable in any way to any winning Eligible Business, or any other person, for any claim, damage, loss, cost or expense arising in any way (including by contract, equity or tort, including negligence) from or in connection with the Prize, other than in respect of the fraud, fraudulent misrepresentation or breach of law directly caused by the Promoter.  To the maximum extent permitted by the applicable laws, Promoter excludes all express and implied warranties or guarantees and all liability, whether direct, indirect, special or consequential, arising from negligence or otherwise relating to the Promotion (including the prize), any inaccuracies and for any non-compliance by any goods or services with any representation, illustration, specification, product feature, colour or other information contained on these terms and conditions and associated materials.

General 

  1. An Eligible Business may only win one (1) prize as set out above. 
  2. All prizes will be made available on an “as is” basis. The Promoter makes no warranty as to the quality, adequacy, fitness (for any purpose) or suitability of any prize.
  3. Any prize won by an Eligible Business will be awarded to the owner or other nominated representative of the Eligible Business (aged 18 years or over) who may allocate the prize to any employee or officer of that Eligible Business (aged 18 years or over) in their absolute discretion. The Promoter takes no responsibility for any such arrangement made by the Eligible Business’s discretion. 
  4. Any fringe benefits tax (FBT) liability associated with the prize or Promotion is the responsibility of the Eligible Business or employee of the Eligible Business, as applicable. The Promoter is not liable nor responsible for FBT.
  5. Eligible Businesses must retain their original invoice(s) for all Qualifying Purchases as proof of purchase. Failure to produce the proof of purchase for all Qualifying Purchases when requested may, in the absolute discretion of the Promoter, result in invalidation of an Eligible Business’ entry and forfeiture of any right to a prize. Invoice(s) must clearly specify the amount spent on Eligible Products, and that the purchase was made during the Promotional Period. 
  6. The Promoter reserves the right, at any time, to verify the validity of entries and Eligible Businesses, and reserves the right, in its sole discretion, to disqualify any Eligible Business that the Promoter has reason to believe has breached any of these Terms and Conditions, tampered with the entry process, or engaged in any unlawful or other improper misconduct calculated to jeopardise fair and proper conduct of the Promotion. Errors and omissions may be accepted at the Promoter's discretion. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights. The Promoter's legal rights to recover damages or other compensation from such an offender are reserved. 
  7. A random prize draw will take place online via randomdraws.com.au, hosted by Trade Promotions and Lotteries Pty Ltd at Level 2, 11 York St, Sydney NSW 2000, on Tuesday 7 April 2026 at 10:00 AM AEST. The Promoter may draw additional reserve entries and record them, in order, in case an invalid entry or ineligible entrant is drawn, or if the Eligible Business has forfeited the prize (refer to clause 24 below). The winner will be notified (by the contact details provided by the winner to the Promoter) in writing, including details of how to collect the prize, within two (2) business days of the draw, and the business owner’s first initial, last name and postcode will be published at https://www.linkedin.com/company/ingram-micro/ from Wednesday 8 April 2026. The Promoter may also publish the winner through marketing activities including but not limited to, electronic direct mail, banners on https://au.ingrammicro.com/ and banner posts on LinkedIn, and any other publications and for such period as required by the relevant state/territory authority. 
  8. As soon as practicable and in any case, within 14 days of being notified by the Promoter that it has won the draw in accordance with clause 20 (or as otherwise requested by the Promoter), each winning Eligible Business must notify the Promoter in writing of the name and contact details (email and telephone) of that employee, for the purpose of the Promoter providing the Prize. 
  9. If an Eligible Business discloses any personal information (“PI”) of an employee, officer or personnel to the Promoter in relation to the Promotion, the Eligible Business warrants that: 
    (a) It is authorised by and has express consent of the individual to do so;
    (b) it will only provide personal information necessary for the purpose of the Promoter providing the Prize (should it become the winner of the Prize) to its employee or such personnel that it determines; 
    (c) it will comply with all applicable laws, including the Privacy Act 1988 (Cth), and its privacy policy; and 
    (d) the collection and use of the personal information by the Promoter will not cause the Promoter to breach its obligations under any applicable law. 
  10. The Promoter’s decision in respect of the winner of each Prize is final and no correspondence will be entered into. 
  11. If for any reason a winning Eligible Business does not claim the Prize by midnight (AEST) 7 June 2026 (or such period as required by the relevant trade promotion authority or regulations applying at the relevant time) of the first draw date specified in clause 20 (above), then that prize will be forfeited by that Eligible Business.  In such case, the Promoter will conduct a redraw on the on 8 June 2026 at 10:00 AM AEST in the same way (including any eligible winner notifications) as specified in clause 20 (above) at Level 2, 11 York St, Sydney NSW 2000. The winner will be notified (by the contact details provided by the winner to the Promoter) in writing, including details of how to collect the prize, within two (2) business days of the draw, and the business owner’s first initial, last name and postcode will be published at https://www.linkedin.com/company/ingram-micro/ within seven (7) days of the draw. The Promoter may also publish the winner through marketing activities including but not limited to, electronic direct mail, banners on https://au.ingrammicro.com/ and banner posts on LinkedIn, and any other publications and for such period as required by the relevant state/territory authority. 
  12. The Prize is not transferable or exchangeable, nor can it be taken as cash. 
  13. If for any reason a winning Eligible Business cannot be found or contacted, that information will be published on the Promotional Website within 14 days after the draw date, subject to any such other period as required by the authority and/or laws at the relevant time.  In such case, the Promoter will notify the next eligible winner from any redraw(s) in accordance with clause 24 above. 
  14. By entering into the Promotion each Eligible Business agrees that, and on behalf of any of its personnel that, its and such personnel’s name, business name and/or Ingram Micro account number may be published on the Promotional Website, and via electronic direct mail, LinkedIn and/or any other platform, digital or print, at the discretion of the Promoter, for the purpose of conducting this Promotion and otherwise for promotional, marketing, and/or publicity purposes. 
  15. If this Promotion is interfered with in any way, or is not capable of being conducted as reasonably anticipated due to any reason beyond the reasonable control of the Promoter, including but not limited to technical difficulties, unauthorised intervention or fraud, the Promoter reserves the right, in its sole discretion, to the fullest extent permitted by law: (a) to disqualify any Eligible Business; or (b) subject to any written directions from a regulatory authority, to modify, suspend, terminate or cancel the Promotion, as appropriate. 
  16. Any cost associated with accessing the Promotional Website is the entrant’s responsibility and is dependent on the Internet service provider used. 
  17. Nothing in these Terms and Conditions limits, excludes or modifies, or purports to limit, exclude or modify, the statutory consumer guarantees provided under the Competition and Consumer Act, nor any other implied warranties under the ASIC Act or similar consumer protection laws in the States and Territories of Australia (“Non-Excludable Guarantees”). Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoter (including its respective officers, employees and agents) excludes all liability (howsoever arising, including by negligence) to the maximum extent permitted by law, including but not limited to for any personal injury, or any loss or damage (including loss of opportunity), whether direct, indirect, special or consequential, arising in any way out of or in connection with the Promotion, or these Terms and Conditions. 
  18. Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoter (including its respective officers, employees and agents) is not responsible for and excludes all liability (howsoever arising, including by negligence), for any death or personal injury (including illness and disease), or any loss or damage (including loss of opportunity), whether direct, indirect, special or consequential, arising in any way out of or in connection with: (a) any technical difficulties or equipment malfunction (whether or not under the Promoter’s control); (b) any theft, unauthorised access or third party interference; (c) any entry or prize claim that is late, lost, altered, damaged or misdirected (whether or not after their receipt by the Promoter) due to any reason beyond the reasonable control of the Promoter; (d) any failure of the Promoter to do any thing because of an event beyond the reasonable control of the Promoter, including but not limited to any act of God, epidemic (including COVID-19 or similar nature), or government order; (e) any variation in prize value to that stated in these Terms and Conditions; (f) any tax liability incurred by a winner or Eligible Business; or (g) any use of a prize, or any thing done or omitted to be done in relation to using a prize, including use of any travel, accommodation, meals, or activities comprising the Trip. 
  19. The Promoter collects PI in order to conduct the Promotion and associated events (including webinars and physical events) and may, for this purpose, disclose such PI to third parties, including but not limited to agents, contractors, service providers, prize suppliers and, as required, to Australian regulatory authorities. Entry is conditional on providing this PI. The Eligible Business agrees and understands (and warrants and represents that any of its employee, officer or personnel that it passes on any such PI through this Promotion to the Promoter agrees and understands) that Promoter will also use and handle PI as set out in its Privacy Policy, which can be viewed at https://apacs.ingrammicro.com/en-au/general/privacy-statement. In addition to any use that may be outlined in the Promoter’s Privacy Policy, and otherwise in these Terms and Conditions, the Promoter may, for an indefinite period, unless otherwise advised, use the PI for promotional, marketing (including direct marketing), publicity, research and profiling purposes, including sending electronic messages or telephoning an individual. The Privacy Policy also contains information about how individuals may opt out, access, update or correct their PI, how individuals may complain about a breach of the Australian Privacy Principles or any other applicable law and how those complaints will be dealt with. All entries become the property of the Promoter. The Promoter may disclose PI to companies located outside Australia (see the Promoter’s Privacy Policy for details).

  1. The top nine (9) partners with the highest total revenue from Windows 11 device sales during 1st June to 31st August will each receive one (1) ticket to attend a driving experience in NSW on either 9 or 10 September 2025.
  2. The top two (2) partners with the highest total revenue from AMD Windows 11 device sales during 1st June – 31st August will each receive one (1) ticket to attend the driving experience on 9 or 10 September 2025.
  3. A maximum of one (1) ticket per company is available. Each winning company may nominate one (1) representative to attend on the 9th or 10th of September.
  4. For partners located outside of New South Wales (NSW), travel and accommodation costs for one (1) representative will be covered.
